“The KIOTI Tractor Getaway Giveaway” (“Promotion”) is sponsored by Daedong-USA, Inc., KIOTI Tractor Division (“Sponsor”). This Promotion is governed by these Official Rules (“Official Rules”). By participating in the Promotion, each Entrant agrees to abide by these Official Rules, including all eligibility requirements, and understands the results of the Promotion, as determined by Sponsor and its agents, are final in all respects. The Promotion is subject to all federal, state and local laws and regulations and is void where prohibited by law. NO PURCHASE NECESSARY TO ENTER TO WIN THIS PROMOTION. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. This Promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook or Instagram.

ENTRY PERIOD:

The Promotion will begin on 11/14/22 at 10:00:00 AM EST and ends on 11/21/22 at 11:59:59 PM EST (the “Entry Period”).  All Entries must be received between the times stated for the Entry Period.

HOW TO ENTER:

Entries can be submitted on the KIOTI Instagram Page located at https://www.instagram.com/kiotitractor/ . Entrants can visit this webpage and will enter by posting a comment to the Promotion post on the KIOTI Instagram Page.

ELECTION OF WINNER AND AWARD NOTIFICATION:

Winner will be selected at random (the “Winner”) and notified within ten (10) days after the Entry Period. Announcement of the Winner, and instructions with respect to the Prize will be made via the same vehicle that the entry was received. The Winner will also receive a direct message (“DM”) through the Instagram account that the Winner used to enter the Promotion. One (1) Winner will be chosen by random software to receive the Prize.

If a Winner is not available or does not acknowledge the Prize through a response DM within two (2) weeks of initial correspondence by Sponsor, then initial Winner shall forfeit the Prize and the Sponsor shall move on to the next randomly selected Winner. Any Winner shall communicate with the Sponsor or Sponsor’s as may be required by the Sponsor to receive the Prize, and any failure to communicate with Sponsor as may be needed or required to receive the Prize, in Sponsor’s sole discretion, may at any time disqualify the Winner from receipt of the Prize.

Proof of identity will be required from potential Winners before collecting the Prize; and if the Winner is a company, Sponsor shall require may require proof of the authorized representative of such Winner. In such event, the Sponsor shall work with the authorized representative to determine the individual from the company that shall receive the Prize. Before collecting the Prize, the Winner may be required, as requested by Sponsor, to return an Affidavit of Eligibility, Release and Prize Acceptance Form, and IRS W-9 form. If a Winner fails to comply with these Official Rules, or otherwise does not complete any of the items described or required by Sponsor in these Official Rules, then the Winner shall forfeit the Prize and the Sponsor shall move on to the next randomly selected Winner.

ADDITIONAL ELIGIBILITY RESTRICTIONS:

All individual entrants and recipients of the of the Prize must be 18 years of age or older. In order to be eligible for this Promotion, all entrants and Winners, as applicable, must be a legal resident of or company domiciled within the fifty (50) United States or the District of Columbia. Sponsor has the right to verify the eligibility of each entrant into the Promotion. Sponsor’s employees, parent, affiliate, subsidiary companies, agents, and representatives are not eligible to participate in, and are excluded from being the Winner of, the Promotion.

Incomplete entries will be disqualified, in Sponsor’s sole and exclusive discretion. Sponsor has no obligation to advise an entrant into the Promotion of an incomplete or otherwise non-compliant or non-eligible entry into the Promotion. Sponsor is not responsible for lost, late, invalid, unintelligible, incomplete, garbled, or misdirected entries.

PRIZE:

One (1) Prize will be awarded, which is a two (2) consecutive night stay at “The Hive at Addison Farms,” located on a 2-acre working farm outside of Greenville, South Carolina (the “Prize”). The Prize will include a one (1) bedroom, one (1) bathroom apartment (approx. 350 square feet) that accommodates up to two (2) people. Any two guests using the Prize must be at least 18 years old. Check in will be at 4:00pm on Day 1 and check out will be before 10am on Day 3. Further restrictions include: No smoking, no pets, no hunting, no parties and quiet time from 10pm to 7am every day at “The Hive at Addison Farms”. Further rules may apply at the Prize location.
ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF THE PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER.

DELIVERY:

The Winner will coordinate directly with “The Hive at Addison Farms” to arrange a time for use of the Prize within the twelve (12) months. Further restrictions or blackout dates may apply, as identified by the “The Hive at Addison Farms.”

CONDITIONS:

By participating in the Promotion, each entrant agrees to abide by these Official Rules. By participating in the Promotion, the Winner (including, but not limited to, both individual guests using the Prize) agree to have his/her/its name, voice, or likeness, as applicable, used in any advertising or broadcasting material relating to this Promotion without receiving additional financial or other compensation, and, where may be required by Sponsor, to sign any Release and Prize Acceptance Form or other documentation confirming such consent as a condition of receipt of the Prize. By participating, each entrant grants Sponsor permission to add the entrant’s contact information to the Sponsor’s promotional mailing and/or email, text, social media or other lists used for promotional or marketing purposes. Sponsor shall not be responsible for any Instagram entries, or other electronic transmissions, that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, or not otherwise received by the Sponsor or its agents related to the Promotion for any reason whatsoever, including but not limited to any technical malfunctions, human error, software/ hardware failure, or telecommunication errors. If this Promotion cannot be executed, fulfilled or otherwise implemented as planned by Sponsor for any reason, including but not limited to tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor, the Sponsor reserves the right to terminate, modify, or suspend the Promotion, in Sponsor’s sole discretion, without liability to Winner or any entrant into the Promotion whatsoever. If the Promotion is terminated before the end of the Entry Period, Sponsor may select, but is not required to select, the Winner from all eligible entries received through such termination time and date. Sponsor reserves the right, at its sole discretion, to disqualify any entry and prosecute any individual or entity that tampers with or attempts to tamper with the entry process. CAUTION: ANY ATTEMPT BY ANY PERSON OR ENTITY TO DELIBERATELY DAMAGE OR OTHERWISE CORRUPT OR UNDERMINE ANY OPERATION OF THE PROMOTION OR THE PRIZE MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SPONSOR RESERVES ALL RIGHTS TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON OR ENTITY INTERFERING IN ANY WAY WITH THE PROMOTION TO THE FULLEST EXTENT PERMITTED BY LAW.

ADDITIONAL LIMITATIONS:

Sponsor and its respective parent, affiliate and subsidiary companies, agents, and representatives are not responsible for any typographical or other errors in the Promotion or administration of the Promotion, including, but not limited to, errors in any printing or posting of these Official Rules, the selection and announcement of the Winner, or the distribution of the Prize. Sponsor and its respective parent, affiliate and subsidiary companies, agents, and representatives are not responsible for, and specifically disclaim all liability to, incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, lost or delayed data transmission, omission, interruption, deletion, lor other inability to access any entry, or any other error, human or otherwise, associated with the Promotion.

RELEASE:

The Winner may be required to execute a legal agreement and release and prize acceptance form (“Release and Prize Acceptance Form”) that confirms Winner’s: (i) eligibility for the Promotion and compliance with these Official Rules; (ii) acceptance of the Prize as offered and as conditioned under the Official Rules; (iii) release of Instagram and Daedong-USA, Inc. and its respective parent, subsidiary companies, affiliates, and/or related companies and each of their employees, directors, officers, unitholders, suppliers, agents, administrators, licensees, representatives, advertising, media buying and promotional agencies (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in this Promotion, participation in any Promotion -related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and (iv) grant to Sponsor the unrestricted right, in Sponsor’s individual discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the Winner’s (and/or, as applicable, the individual(s)’ using the Prize on behalf of the Winner) name, photograph, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Promotion. The executed Release and Prize Acceptance Form, if requested by Sponsor, must be returned within two (2) business days of the verification and/or announcement as a Winner or the selected entrant may, at the sole and absolute discretion of Sponsor, be disqualified, and the Prize forfeited.

INDEMNIFICATION AND LIMITATION OF LIABILITY:

BY ENTERING THE PROMOTION, EACH ENTRANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS SPONSOR AND INSTAGRAM, AND EACH OF THEIR PARENT, AFFILIATE AND SUBSIDIARY COMPANIES, AGENTS, REPRESENTATIVES, ADMINISTRATORS, ADVERTISING AND PROMOTIONAL AGENCIES, AGENTS AND REPRESENTATIVES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AND/OR EMPLOYEES FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT ENTRANT’S PARTICIPATION IN THE PROMOTION AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the substantive laws of the State of North Carolina without regard to conflicts of law principles. By virtue of entry into the Promotion, all entrants consent to the personal jurisdiction and venue of the State of North Carolina.
